Board Resolution

Eight resolutions a small company actually passes, in the form a bank, a registrar or a due-diligence lawyer expects. Each one tells you which form it triggers and by when.

Before you sign this. These are drafting starting points, not legal advice. A resolution must match what the board actually decided, the meeting must have been validly convened with quorum, and the signed original belongs in the minute book within thirty days (s.118). Where a resolution falls under s.179(3) it must also be filed in MGT-14 within thirty days — the form column above says which ones do.
