Draft for internal legal review. Written to reasonably reflect how the Portal actually works today, and in particular to make explicit the same points already carried in the staff-side disclaimer on the login page (that outputs are working aids, not a legal opinion). Please review and adjust before relying on it as your binding customer-facing terms.

1. What the Portal Is

The Labour Law Compliance Portal ("Portal") is a subscription toolkit operated by Kanoon Mitra Solutions that generates statutory registers, personnel documents, statutory calculators and compliance due-date tracking for Indian labour law compliance. It is a working aid, not a substitute for legal advice.

2. Not a Legal Opinion

Reports, computations and drafted forms generated through the Portal are preliminary working aids only. They do not constitute a legal opinion under the Advocates Act, 1961, and are not, by themselves, admissible before any court, tribunal or statutory authority for litigation, prosecution or defence. No attorney-client privilege attaches to outputs generated through the Portal unless separately confirmed in writing by Kanoon Mitra Solutions. All computations, form fields and statutory citations must be independently verified against the current notifications before filing, issuing or relying on them — several data points in the Portal are explicitly flagged where they have not yet been independently verified; treat any unflagged figure with the same diligence you would apply to any compliance data source.

3. Your Account & Subscription

  • You must provide accurate company details (name, PAN, GSTIN, CIN) at signup — a company's PAN uniquely identifies it and cannot be registered twice under different accounts.
  • Subscriptions bill on a recurring basis via Razorpay until cancelled; see your chosen plan for pricing and company limits.
  • You are responsible for keeping your login credentials confidential and for all activity under your account.

4. Your Data

If you connect your Google Account, your compliance register data is stored in a spreadsheet created in your own Google Drive, not on our servers — see our Privacy Policy for the full detail on what that means and what permissions we request. You remain the owner of that data at all times and can export, edit, or delete it independently of your Portal subscription.

5. Acceptable Use

You agree not to: use the Portal for any unlawful purpose; attempt to circumvent subscription/company limits; share your login credentials with anyone outside your organisation; or use generated documents to misrepresent compliance that has not actually been achieved.

6. Disclaimers & Limitation of Liability

The Portal is provided "as is". While we take reasonable care to keep statutory rates and formulas current, labour law and its state-wise variations change frequently and we do not warrant that every figure is current at every moment — see Section 2. To the maximum extent permitted by law, Kanoon Mitra Solutions' liability for any claim arising from use of the Portal is limited to the subscription fees paid in the 12 months preceding the claim.

7. Termination

You may cancel your subscription at any time. We may suspend or terminate access for breach of these Terms, non-payment, or unlawful use.

8. Governing Law

These Terms are governed by the laws of India, with courts at Gurugram, Haryana having exclusive jurisdiction.
